apache won't start

I'm hoping someone can give me some clues to find out what I need to do with this... Apache died this evening.. possibly to high traffic levels, but I'm not sure. I went to restart and got this error:

"MaxClients of 300 exceeds ServerLimit value of 256 servers, lowering MaxClients to 256. To increase, please see the ServerLimit directive."

??? I didn't know where this came from, but I went ahead and lowered MaxClients to 256. Restarted apache. Got this error:


"starting httpd: (98)Address already in use: make_sock could not bind to addresss 0.0.0.0:80 no listening sockets available, shutting down. Unable to open logs."

I rebooted the server. Apache still not up.

Now, when I try to restart apache, I get "OK" but apache is still down.

Any HINTS, ideas, suggestions, please?? Techsupport at servermatrix seems to be stumped as well.
