Technical Advice -- Possible CPU/Mem/Config issue

Greetings,
Below, you see my Apache status from WHM, just before my server crashes.
It only runs one Postnuke/PHP/MySql website!

Database size= 70 MB. Traffic=10,000 visitors/day. Page Views= 120K/day.

The Server is your typical Server Matrix Super Server (P4 CPU 2.8/1 G RAM/Flood Gaurd/Cpanel/WHM/RHE 3)
Is the above too much to ask from this server?

It has never been up a full day, ever since I got it couple of weeks ago.

Could this be an attack? Should I upgrade? What areas I need to check? I did a MySql (huge.conf) /PHP/Apache tuning. Anything else before I ask for an upgrade?

I noticed that when Memory reaches 80% load, re-starting Apache (from WHM),
would bring it back to below 25%. It would work OK for a while and handle even more requests
than than above (59), but it would run out of memory again and shutdown.

Any advise would be appreciated.
