Help Apache eat resource

Hi I face problem with my server it is become slow & some time down it is AMD Athlon XP 2000+, 384K Cache with 768 DDRAM
there only one site on it with 5000 visitors daily i try to tuning the httpd.conf but i have no idea what is the best values i should use with this case , Also which values i should use with my.cnf
