CentOS. Is it worth to upgrade to 4.0?

I currently have CentOS 3.4 installed on my server, with a 2.4.x kernel. Is there (generally) any reason to upgrade it to 4.0 (and 2.6.x)? Security? Performance?

Is there anything I should consider as a no-no, maybe some problems with the current version, hardware limitations, whatever?

Or maybe wait for some time with this upgrade? I'm hesitating, cause everything's working OK right now. But I just don't want to miss the moment and get screwed by some petty exploit...
