XFS taking 100% CPU!!

Hi,
I am running:
Red Hat Enterprise Linux ES release 3 (Taroon Update 2)

on a dedicated server (ServerMatrix). Once in a while, XFS goes crazy and starts consuming 100% of CPU. I KILL it, and everything works as normal. (I see the cpu usage in TOP).

Questions:
-do I need XFS at all? I am running php/mysql, and no xwindows, just tty connection
-If I don't need it, how do I disable it?

I know I should have the kernel upgraded, etc.etc. but how do I solve this problem.
